Foreign Sales Company Part B
1) The two parts should make out an inclusive agency agreement in two copies through friendly negotiations, each party holding one copy
2) Part A entrust Part B with the exclusive agency in the agency territory for selling their all types of road safety products manufactured by party A in future in agency market and covering entire agency territory for at least two years
3) Part A will not sell their mentioned products including or any other related product of its kind directly in agency market or indirectly for agency market except through part B throughout the period of exclusive agency agreement
4) Part B should hand over quarterly written report to Part A on its activities and market conditions in territory. Part B should strictly conform to any instructions given by Part A
5) The final price will be determined by both parties on base of definite quantity order. Part B minimum sales projected target will be US 50,000 per year minimum of Part A products sale in agency market for each calendar year to maintain the exclusive agency for entire agency Market and maximum sale no limit and if sales fall less than minimum quantity then part A has the right to cancel the agreement exclusive or continue will be sole discrepancy of part A, but if sales are done as per minimum required amount then part B will represent exclusively every year
6) The payment should be made by T/T or L/C at sight
7) During the period of this agreement, both parties should strictly abide by the terms and conditions of this agreement. All disputes arising from the execution of this agreement shall be settled through negotiation between both parties. In the event that no settlement can be reached, the case in dispute shall then be submitted for arbitration to the Foreign Trade Arbitration Commission of the China Council for the Promotion of International Trade
8) Party A will send all products of standard quality with all manufacturing data properly mentioned and up to standard of samples
9) Other terms and conditions shall be supplemented after negotiating by both parties, for price of the products on party to party basis. Price is subject to party to party and mutually agreed upon. Pro-forma invoice will be issued by party A on final agreed price
